These Terms of Service govern access to and use of Philia Technologies software, services, websites, and related venture products. By using our services, you agree to these terms and to any applicable policies referenced here.
1. Service scope
Philia Technologies builds and operates software systems that may include AI agents, dashboards, workflow automation, venture-backed products, and related interfaces. The exact scope of work depends on the product or commercial arrangement in place.
2. Software role and client responsibility
Philia provides software and related technical services. Unless explicitly agreed in writing, Philia is not the merchant of record, logistics provider, or payment service provider. Clients remain responsible for fulfillment, customer handling, pricing, business compliance, and any obligations arising from the products or services they sell.
3. Pricing and payment
Commercial terms, setup fees, subscriptions, or retained services are defined in the relevant proposal, invoice, or product plan. Fees are due according to the payment schedule communicated at the point of sale or contracting.
If a refund policy is offered for a specific product or engagement, that policy will be communicated explicitly. Where a 7-day refund window is stated in a plan or proposal, requests must be submitted within that period in writing.
4. Service availability
We aim for reliable uptime and stable performance, but uninterrupted availability cannot be guaranteed. Downtime may result from maintenance, infrastructure issues, third-party failures, network conditions, or force majeure events.
5. Third-party dependencies
Some product behavior depends on external platforms such as Meta, Safaricom M-Pesa, Airtel Money, hosting providers, and payment processors. Philia is not liable for outages, policy decisions, or service failures caused by those third parties.
6. Acceptable use
- You may not use our systems for illegal, fraudulent, or deceptive activities.
- You may not misuse automated messaging or attempt to abuse third-party platform rules.
- You may not reverse engineer, resell, or redistribute software unless expressly permitted in writing.
7. Intellectual property
Philia Technologies retains ownership of its software, code, interfaces, product logic, branding, and related materials unless a separate written agreement states otherwise. Clients retain ownership of their own business data and content, subject to the license required for Philia to operate the agreed service.
8. Liability limits
To the extent permitted by law, Philia is not liable for indirect, incidental, special, or consequential damages, including lost revenue, lost profit, or lost business opportunity arising from use of the service. Philia's aggregate liability is limited to the fees paid by the client for the relevant service in the 12 months preceding the claim, unless a separate written agreement provides a different cap.
9. Suspension and termination
We may suspend or terminate access if payment obligations are not met, if these terms are materially violated, if the service is being used in a prohibited manner, or if continuing the service creates a security, legal, or operational risk.
10. Governing law
These terms are governed by the laws of Kenya. Any disputes relating to these terms or the use of our services are subject to the jurisdiction of Kenyan courts, unless a different forum is agreed in writing.
11. Changes to these terms
We may update these Terms of Service from time to time. Continued use of the service after updated terms are published constitutes acceptance of the revised terms.
